Carlton closes $5b in deals in firm's biggest year ever. With over $5 billion in debt and equity transactions already closed this year, Manhattan-based Carlton Group, headed by Chairman Howard L. Michaels, is not only continuing its phenomenal recent growth, but has clearly established itself as one of real estate's biggest and most creative deal makers. How has the firm been able to transform itself from a small real estate and loan sale company in the early 1990's to a full service real estate investment bank with a total deal volume since 1998 of over $15 billion? "We decided to separate ourselves from all of the firms who focus solely on the debt side of real estate," asserts Michaels. "Instead, we concentrate on equity driven transactions, functioning for many of our clients like their private real estate equity bank." This year alone, Carlton completed 53 transactions involving over 25 million square feet of prime commercial and residential properties. Among the major equity-driven Carlton transactions that they have already closed this year is the $801 million of joint venture equity and debt for the Bank of America

According to Michaels, the biggest key to his company's success in this highly specialized arena has been its ability to build and access a dynamic network of equity sources for accessible, relatively "cheap money" all over the world--sources that, for the most part, are not on the radar screen of most investors. Carlton also has also demonstrated a unique ability to tap an array of individual high net worth investors that possess complementary interests to that of the owner and are often willing to backfill back·fill n. "Interest in finding compatible equity partners is very strong right now," says Michaels, who notes that real estate owners can enjoy a number of benefits from his company's program. "First and foremost, overseas capital investors often put in as much as 80% to 90% of the equity while the owner/operator maintains most of the ownership residual," asserts Michaels, who adds that "many overseas investors are more focused on current return than ownership percentage." Other advantages of Carlton's structured equity recapitalizations is that it allows owners to "pull out" major sums of cash by replacing existing "high octane" capital partners with "lower temperature" capital providers at the property's "stepped up" current market value. This allows the existing partners to maintain ownership and control of the asset while continuing to collect management fees and participate in the future upside of the asset. In addition to emerging as one of the industry's premier real estate equity and debt advisors and serving as consultants to owners of some of the highest profile trophy properties in the United States, Carlton has also grown into a dynamic, multi-faceted company fueled by its growing Hospitality Group, Loan Sale Division and burgeoning Carlton Strategic Ventures, which is Carlton's principal division.
