Carey Leaving Aearo Company; Kulka Named Vice President of Finance.

INDIANAPOLIS--(BUSINESS WIRE)--July 25, 2000

Bryan J. Carey, Aearo Company executive vice president, chief financial officer, and managing director, Europe, will leave Aearo effective Sept. 30, 2000. Carey will join Vestar Capital Partners in New York New York, state, United States
New York, Middle Atlantic state of the United States. It is bordered by Vermont, Massachusetts, Connecticut, and the Atlantic Ocean (E), New Jersey and Pennsylvania (S), Lakes Erie and Ontario and the Canadian province of
 as a managing director of Vestar Resources, the company's portfolio monitoring and management group. Vestar is a principal shareholder of Aearo, an Indianapolis-based manufacturer of personal protective equipment. Carey assumes his new position at Vestar Oct. 1, 2000.

Carey will devote approximately 50 percent of his time from Oct. 1, 2000 through the end of the year to Aearo business. Thereafter, he will be available to Aearo on an on-going basis as a strategic advisor.

Commenting on Carey's departure, Mike McLain, Aearo's president and chief executive officer, said, "Bryan has played an incredibly key role in the growth and success of Aearo. His business acumen acumen Astuteness, perception, perspicacity  and honest, straightforward management style have earned him the respect of all who have worked with and for him. We will surely miss him, but it's a comfort to know that he'll be working for Vestar and will remain a valued resource for Aearo."

Jeffrey S. Kulka, Aearo's corporate controller, has been named the company's vice president of finance, effective Oct. 1, 2000. Kulka joined Aearo in March 1997 in his current capacity. He has over 20 years of experience in finance and accounting.

"Jeff brings a wealth of skills and knowledge to his new role. The experience he's gained as Aearo's controller, coupled with the terrific learning he's acquired from both domestic and international assignments, suit him well as he takes the lead for Aearo's finance team," McLain said.
