Cara Operations Ltd. announces successful closing of its transaction with The Spectra Group of Great Restaurants Inc.

: CRAOF.) announced Tuesday the successful closing of its transaction to acquire up to 35 percent of the issued and outstanding shares of The Spectra Group of Great Restaurants Inc.

Under the transaction, Cara acquired today from Spectra treasury, 506,970 common shares and 1,939,090 non-voting shares at a price of $2.25 per share, representing about 21.5 percent of the issued common shares and 22.5 percent of the issued non-voting shares, respectively.

Cara also acquired warrants exercisable within one year at a price of $2.55 per share, which if fully exercised, would give Cara 35 percent of each class of shares (on a fully diluted basis).
