Cantel and AT&T announce strategic alliance and technology agreement.

TORONTO--(BUSINESS WIRE)--Nov. 13, 1996--

New generation of wireless services will be available to

Rogers Cantel Mobile Communications Inc. and AT&T Canada Inc. today announced a long-term strategic alliance that includes the licensing of the AT&T brand and a technology and marketing agreement with AT&T Wireless Services. This agreement will result in services that will be sold under the CANTEL AT&T name and will expand the seamless availability of Cantel's and AT&T's wireless services, including Digital PCS (1) (Personal Communications Services) Refers to wireless services that emerged after the U.S. government auctioned commercial licenses in 1994 and 1995. The technology agreement between Cantel and AT&T Wireless Services brings seamless wireless communications to customers of the two companies on both sides of the border. Further, under the terms of the technology agreement, Cantel customers will reap the benefits of enhancements AT&T Wireless Services makes to its offerings.

Last week, Cantel announced its introduction of Digital PCS; AT&T Wireless Services also recently announced its AT&T Digital PCS offering. Some of the features that will be available to customers in Canada and the United States include Calling Line ID and Visual Call Waiting, so a quick glance tells customers they have messages. Customers can also receive text and numeric messages on their phones from personal computers and text dispatch services via the new Short Message Service option.

AT&T Wireless Services plans to broaden its AT&T Digital PCS coverage to more than 200 million people by the end of 1997, thereby covering 80 percent of the U.S.

Cantel is Canada's largest wireless company, providing access to 94 percent of Canadians with more than 1.5 million wireless customers. Based on a TDMA (Time Division Multiple Access) A satellite and cellular phone technology that interleaves multiple digital signals onto a single high-speed channel. For cellular, TDMA triples the capacity of the original analog method (FDMA).  IS-136 platform, the company will offer Cantel AT&T Digital PCS service to all major cities and transportation corridors in Canada.

This long term agreement involves royalty payments, the issuance of warrants, and payments to AT&T for marketing and technical support. The warrants will be exchangeable on a one-for-one basis over several years, for $32.5 million worth of Cantel Class B Shares. These shares will be issued from the treasury of Rogers Cantel Mobile Communications Inc. In addition, Cantel will include a representative from AT&T Wireless on the board of RCMCI.
