 Foods Inc., a subsidiary of Gruma Corp. and the holder of 96% of the common stock of Candy's, will merge Candy's into itself on or about Dec. 16, 1994.

Shareholders of Candy's will receive $2.40 per share in the merger. Gruma Corp. recently completed a cash tender offer for shares of Candy's.

Based in Pueblo, Candy's Tortilla Factory Inc. manufactures, markets and distributes a premium-quality line of flour flour, finely ground, usually sifted, meal of grain, such as wheat, rye, corn, rice, or buckwheat. Flour is also made from potatoes, peas, beans, peanuts, etc. Usually it refers to the finely ground and bolted (i.e.  and corn tortillas, taco shells and tortilla chips, packaged and marketed under its own labels and various private labels to the retail, institutional and food-service markets. Retail customers include Safeway, Albertson's, Smiths and Kroger. Food-service customers include Kraft, Shamrock shamrock, a plant with leaves composed of three leaflets. According to legend it was used by St. Patrick in explaining the doctrine of the Trinity; it is now used as the emblem of Ireland. An artificial or real shamrock leaf is customarily worn on St. Patrick's Day. , Sysco and McDonald's.
