Campbell Shareowners Elect Board Members at Annual Meeting; Paul R. Charron and Les C. Vinney Newly Elected to Campbell Board Of Directors.

Campbell Soup Company (NYSE:CPB) today held its annual meeting of shareowners in Windsor Locks, CT, near the company's new Pepperidge Farm bakery in Bloomfield, CT. Shareowners approved the company's nominees to its Board of Directors. The following directors were reelected:

-- George M. Sherman, Chairman of Campbell Soup Company and

retired President and Chief Executive Officer of Danaher

Corporation.

-- Douglas R. Conant, President and Chief Executive Officer of

Campbell Soup Company.

-- Edmund M. Carpenter, President and Chief Executive Officer of

Barnes Group, Inc.

-- Bennett Dorrance, private investor and Chairman and Managing

Director of DMB Associates.

-- Kent B. Foster, Chairman and Chief Executive Officer of Ingram

Micro, Inc.

-- Harvey Golub, retired Chairman and Chief Executive Officer of

American Express Company.

-- Randall W. Larrimore, Chairman of Olin Corporation and retired

President and Chief Executive Officer of United Stationers

Inc.

-- Philip E. Lippincott, former Chairman of Campbell Soup Company

and retired Chairman and Chief Executive Officer of Scott

Paper Company.

-- Mary Alice D. Malone, private investor and President of Iron

Spring Farm, Inc.

-- David C. Patterson, Founder and Chairman, Brandywine Trust

Elected as Directors for the first time were Paul R. Charron and Les C. Vinney.

Charron and Vinney succeed Thomas W. Field, Jr. and David K.P. Li, who retired from the Board. Field joined the Campbell board in 1987 and Li joined in 1995.

Charron, 61, is Chairman and Chief Executive Officer of Liz Claiborne, Incorporated (LIZ), one of the world's leading branded fashion apparel and accessories companies, with annual sales of more than $4 billion. Charron has had a distinguished career at leading consumer package goods companies such as Procter & Gamble Co. and General Foods Inc. Prior to joining Liz Claiborne, Incorporated in 1994, Charron was Executive Vice President of VF Corporation, the nation's largest publicly held apparel maker.

Vinney, 54, is President and Chief Executive Officer of STERIS Corporation (STE), headquartered in Mentor, OH. With annual sales of $1 billion, STERIS Corporation is a leading provider of infection prevention, contamination prevention, microbial reduction, and surgical support systems, products, services, and technologies to healthcare, scientific, research, industrial and government customers throughout the world. Prior to joining STERIS, Vinney was Senior Vice President and Chief Financial Officer of The B.F. Goodrich Company.

Both new board members were identified and recruited by Gayle Mattson, a Senior Client Partner and member of the Global Board Services practice at Korn/Ferry International, based in the firm's New York office.

At the meeting shareowners also ratified the appointment of PricewaterhouseCoopers LLP as independent auditors for the current fiscal year and approved a new long-term incentive plan.
