In the second quarter the Company accrued expenses for expected costs associated with the financial and corporate restructuring currently underway. This increased the current administration expense by approximately $233,890.

The results reflect the curtailment of revenue generating operations at the Marwayne plant during the second quarter pending completion of the financial restructuring.

The Company also announced today that it completed the mailing of its management proxy circular and notice of annual general and special meeting scheduled for April 15, 1996. The Company is asking shareholders to approve a financial restructuring which would eliminate approximately $2,850,000 in liabilities and to approve a private placement which would increase the cash equity by $3,250,000 through a private placement with Soiltech Environmental Systems Canada Inc.

Soiltech has provided approximately $250,000 in working capital as part of its agreement. Soiltech recently advanced an additional $160,000 to the Company to ensure an accelerated schedule for the return to full operations at the Marwayne facility. Soiltech has also installed its own Soilwash equipment at the Marwayne facility to boost future commercial production rates for the processing of heavy oil waste.
