Warnaco acquired the companies that operate the Calvin Klein jeans and accessories wholesale and retail businesses in Europe and Asia and the CK Calvin Klein "bridge" sportswear and accessories businesses in Europe. CKI is the licensor of the businesses sold and its minority interests were in certain of the entities sold. CKI will receive approximately $35 million in cash proceeds, net of amounts held in escrow. The proceeds are subject to post-closing adjustments and potential indemnity obligations. The sale will result in a pre-tax gain on the transaction of approximately $30 million, which will be recorded in the first quarter of fiscal year 2006.

It is the world's largest shirt company and markets a variety of goods under its own brands, Van Heusen, Calvin Klein, IZOD, Arrow, and G.H. Bass & Co., and its licensed brands Geoffrey Beene Geoffrey Beene (August 30 1924 – September 28 2004) was an American fashion designer.
