Pursuant to the Merger Agreement, CPSJ will issue 33,918,400 shares of its 144-restricted common stock in exchange for 100% of KFI's outstanding common stock. The merger will be a tax-free reorganization accounted for as a purchase whereby CPSJ will be the surviving corporation and change its name to Knowledge Foundations, Inc. The merger is subject to regulatory review, stockholder notification and the satisfaction of other customary conditions.
