Caere Announces Agreement to Acquire Recognita; Acquisition Will Support Caere's Global Strategy to Provide OCR to the World and Strengthen Its Position as the World's Leader in OCR Technology.

), whereby Caere will acquire Recognita in a cash transaction with a total cost of approximately $4.7 million.

In connection with the transaction, Caere anticipates a one time charge for in-process research and development of approximately $4.5 million. The parties expect the transaction to be completed by December 1996.

OCR software is the technology that processes scanned documents and converts them into more useful, computer-editable text that can be used in word processing word processing, use of a computer program or a dedicated hardware and software package to write, edit, format, and print a document. Text is most commonly entered using a keyboard similar to a typewriter's, although handwritten input (see pen-based computer) and  and other text-based applications. OCR eliminates the retyping of essentially any printed paper document including memos, report, contracts, correspondence, and resumes.

Caere and Recognita are leaders in this highly specialized technology and develop OmniPage Pro OCR software and Recognita Plus OCR applications, respectively. The companies' products have been recognized with awards for excellence around the world.

Caere's Global OCR Strategy

Playing a key role in Caere's global strategy to provide OCR to the world, the acquisition will allow Caere to expand its OCR presence into new markets. With the acquisition, Caere will be positioned as a global OCR provider with recognition technologies for more than 100 languages from English to Polish, from Swahili to Sioux.

Other recent announcements underline Caere's global OCR strategy, including the introduction of OCR products in the Middle East and Japan with OmniPage for Arabic and OmniPage Pro 6.0J (Japanese), respectively.

Expanding Emerging Markets

By providing a local office in Eastern Europe, the acquisition will allow Caere to more effectively expand the market for OCR in the area. Leveraging Caere's financial and international marketing/sales strengths with Recognita's recognition technologies, together the two companies will be best positioned to grow the small but emerging OCR markets of Eastern Europe and the former Soviet Union.

Specifically, Caere will be able to leverage its strong channel relationships to expand the availability of the Recognita product line.

The acquisition will also allow Caere to take advantage of Recognita's strong research and development resources. Recognita employs more than 25 engineers, experienced in OCR and related technologies, who will be a valuable resource for both companies. These technology resources will allow the two companies to move the current product lines forward while investing in new technologies.
