) announced today that early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act The Hart-Scott-Rodino Antitrust Improvements Act of 1976 (Public Law 94-435, known commonly as the HSR Act) is a set of amendments to the antitrust laws of the United States, principally the Clayton Antitrust Act. The HSR Act was signed into law by President Gerald R.  of 1976 in connection with the proposed acquisition of Digital Island by Cable & Wireless was granted by the Federal Trade Commission on May 30, 2001. Cable & Wireless and Digital Island also announced today that it has been determined that a pre-merger notification filing will not be required in accordance with either the U.K. Fair Trading Act or the applicable E.C. Cable & Wireless and Digital Island announced on Monday, May 14, 2001, the execution of a definitive merger agreement providing for the acquisition of Digital Island at a price of $3.40 per share in cash by means of a tender offer for all outstanding shares of Digital Island's common stock to be followed, upon the terms and subject to the conditions of the merger agreement, by a second step merger. The tender offer, which commenced on Monday, May 21, 2001, is scheduled to expire at 12:00 midnight, New York City New York City: see New York, city.
