CTE Files Registration Statement with SEC Offering 2.75 Million Common Shares Held by an Affiliate of Level 3 Communications.

DALLAS, Pa.--(BUSINESS WIRE)--Feb. 8, 2002

Commonwealth Telephone Enterprises, Inc. ("CTE (Coefficient of Thermal Expansion) The difference between the way two materials expand when heat is applied. ") (Nasdaq: CTCO CTCO Chicago Transportation Coordination Office , CTCOB) announced today that it has filed a registration statement with the Securities and Exchange Commission for a public offering of 2.75 million shares of common stock.

All of the shares will be offered by Eldorado Equity Holdings, Inc., an indirect wholly-owned subsidiary of Level 3 Communications
Not to be confused with L-3 Communications, a communications system company.


Level 3 Communications NASDAQ: LVLT is a communications and information services company headquartered in Broomfield, Colorado, USA.

The underwriters will have an option to purchase up to 412,500 additional shares of common stock from Eldorado Equity Holdings, Inc. to cover over allotments, if any. Morgan Stanley & Co. Incorporated is acting as bookrunner and lead manager for the offering; Goldman, Sachs & Co. is co-lead manager; and First Union Securities, Inc., Legg Mason, Inc. and SG Cowen Securities Corporation are co-managers.
