While the parties expect that the merger may close as early as March 8, 2007, the merger is still subject to certain customary closing conditions, including the approval of the Pennsylvania Public Utility Commission, which may be obtained as early as March 1, 2007. If the approval is obtained on March 1, 2007, CTE would anticipate that the transaction will close on March 8, 2007. There can be no assurance, however, that the required consents or conditions will be obtained, or satisfied, by March 1, 2007, or at all, and consequently there can be no assurance that the merger will be consummated on March 8, 2007, or at all.
