Approval was also granted for two private placements. The first involves the placement of 1,000,000 units at a price of $0.40 with a one year Purchase Warrant priced at $0.60. The second involves the placement of up to 2,000,000 units with a one year purchase warrant, the pricing of which will be determined in 1996. In addition to approving the purchase of Marathon, the Corporation will now be able to proceed to close the acquisition of Syscom Group Inc. and MotionWare Technology Inc. Receiving shareholder approval for Marathon was a condition to Closing these agreements.
