Also in early February, WINR completed negotiations to acquire 100% of the SecureNet-Plus Network from CyberLink Monetary Systems. As mentioned above, WINR has been working with CyberLink Group over the last year and will continue to receive their full support in the administration of these sites. The SecureNet-Plus Network is a series of e-commerce websites under the common name, http://www.____-plus.com. SecureNet-Plus has over 30 "plus" registered domain names, including Cyberbank-plus, Commodities-plus, Mortgages-plus, Loans-plus, Mutual Funds-plus, Eshop-plus. WINR recently registered another 30 `-Plus' Network domain names, including Accountants-plus.com, Attorneys-plus.com, Business-plus.com, Taxes-plus.com and other names related to services, products and support.

The Company is now building a new e-commerce portal named WINR-plus.com for launch in the second quarter 2000. The WINR-plus.com portal will serve as the central hub of the SecureNet-Plus Network. The portal will direct Internet consumers to the best online provider or retailer in more than 300 product and service categories. Rather than querying a search engine, which often retrieves hundreds or thousands of retailers with no regard to their quality, the Company's new WINR.Plus portal will provide one-click access to those providers and retailers that offer the most competitive rates and highest levels of performance and service in each sector. The Company and a team of Internet experts are conducting market research and the comparative analysis necessary to determine the leader in each industry and service sector that will receive the WINR "seal of approval." The SecureNet-Plus Network will provide an exclusive, innovative solution to online shopping, with tremendous advantages over Yahoo, AltaVista, Excite and other traditional search engines. The Company's portal is different and beneficial because it will provide a targeted search with the benefit of expert advice at no cost to the consumer.

The '-Plus' Network will encompass four overall category sites, covering Internet financial providers (IFP (1) (Intelligent Forms Processing) Using advanced techniques to scan documents and determine their data content. See ICR.

The acquisition of the SecureNet-Plus Network gave WINR full, unrestricted ownership of all domains, including the exclusive financial processing for all such websites. This allows WINR and SupraNet to have complete hands-on marketing, processing and administration of the Network. For such administration and handling of the financial transactions at these various e-commerce websites, WINR receives as revenues a percentage of the transaction.

The Company already has several contracts in active negotiation. WINR expects to obtain a significant share of the European e-commerce market both because of its innovative "-Plus" strategy and because they are the only company that will be able to offer the new 448-bit key standard for encryption and WINR's unique, cutting-edge secure financial transaction processing.

SecureNet-Plus Network allows the user to have immediate access to many different services available on the Internet, including stock trading, online auctions, mutual fund trading, insurance, golf courses and retail establishments. The user will be able to use the funds from the Company's own Internet bank account to purchase goods and services In economics, economic output is divided into physical goods and intangible services. Customers are offered complete bank card processing through a merchant account, total back office accounting and reports, access to an international customer base, processing in all currencies, tax advantages and a complete staff available 24 hours a day to service their customers. It gives the Internet business the full advantages of a Liechtenstein venue and complete processing, communication and banking in one safe, secure and confidential environment. The Company expects that SecureNet-Plus will create tremendous growth for its planned new banking entity, CyberBank, as consumers and Internet businesses take advantages of the benefits of the network and banking in Liechtenstein.

As mentioned above, WINR has offices and operates in Liechtenstein and has many valuable existing relationships in the Principality. The Company retained Dr. Peter Keppeler of Ernst and Young, Bern, Switzerland, to explore the viability of filing an application for an Internet Banking License in Liechtenstein. Dr. Keppeler was the author of the Liechtenstein banking laws that were passed by the Liechtenstein parliament.

On February 10, 2000, the Company announced that it was officially advised by Dr. Keppeler that WINR, as a publicly traded U.S. company, has the right to participate in the ownership of shares in a Liechtenstein Private Bank. Financial Discussion & Revenue Streams

We believe the acquisitions and partnership made or recently formed by WINR provide the Company with an exclusive, proprietary infrastructure to offer state-of-the-art secure, financial transaction capability to Internet e-commerce companies. This is probably the most lucrative area in Business-to-Business (B2B) Internet commerce because it is critical to the profitability and the actual ability of businesses to operate on the Internet.

The acquisition of 19% of SupraNet AG, which has grown at 80% for the last five years with expectations to continue such growth, will further add to WINR's revenues. The synergistic combination of WINR and SupraNet and their joint marketing efforts for SSM encryption technology will contribute additional revenue streams. WINR has already received numerous inquiries from worldwide e-commerce businesses that are seeking to locate their servers in WINR's and SupraNet's facilities.

WINR recently signed a contract with Winner Market AG (no affiliation with Winners), a Swiss e-commerce group, owned by TA-Media AG, the most successful media enterprise in Switzerland with daily newspapers, magazines, radio and TV stations and more than $400 million in annual revenues. Winner Market has chosen WINR's services for its e-commerce transactions for its group of e-commerce sites, including an Internet job marketplace, Swiss real estate marketplace, Swiss vehicle marketplace and a Swiss auction house. WINR receives a very lucrative share of revenue on a percentage basis per processed transaction.

WINR plans to set up its majority-owned or controlling minority-owned CyberBank AG to provide complete global Internet banking services from Liechtenstein, providing services no other bank can currently offer. We expect the revenue streams from WINR's CyberBank to contribute to an extremely rapid growth period for the Company.

WINR is already profitable. For the 10 months ended October 31, 1999, on revenues of only $1.7 million, net income came in at $1.1 million or $0.07 per share. Based on WINR's anticipated new revenues streams, we are projecting WINR's revenues to grow from an estimated $2 million in 1999, to $20 million in 2000, and expanding to $35 million and $50 million in 2001 and 2002. We are conservatively projecting net income of $4.8 million or $0.30 per share in 2000, $8.5 million or $0.53 per share, and $12.3 million and $0.77 per share in 2001 and 2002, respectively.

Most profitable and even numerous unprofitable Internet-related companies currently carry extremely high PE ratios in the markets today. WINR currently carries a PE ratio of 49, which is significantly lower than most Internet companies' current PE averages. Assuming WINR simply maintains a PE of 50 going forward, this would bring WINR's stock price to $15 by the end of 2000, and $26 to $27 in 2001, and $38 to $39 in 2002.
