 CRSS ANNOUNCES INTENTION TO DIVEST NATEC HOLDINGS
 HOUSTON, Aug. 11 /PRNewswire/ -- CRSS Inc. (NYSE: CRX), announced


its intent to divest its acid rain/pollution control related investment holdings. These holdings include a 48 percent interest in the common stock and a $12.0 million preferred stock investment in NaTec Resources, Inc. (NASDAQ: NATC).
 The divestiture is expected to take the form of either the sale or dividend of the NaTec stock holdings. The company continues to study the appropriate forms of divestiture with the intent of maximizing benefit to CRSS shareholders. The plan of divestiture is expected to be completed over the next six to 12 month period.
 Commenting on the announcement, Bruce Wilkinson, chairman and chief executive officer, stated, "The decision to divest the NaTec holdings will allow us to focus on our core design and construction services business as well as our independent power subsidiary, CRSS Capital, Inc."
 Additionally, Wilkinson stated, "Proceeds from a sale of the NaTec holdings will most likely be invested in CRSS Capital for the purpose of funding the development of current and future cogeneration facilities. We leave open the option of a dividend of the NaTec shares to CRSS shareholders in the event that such action would be in the best interest of the company and its shareholders."
 In conjunction with the decision to divest of the NaTec stock holdings and corresponding discontinuance of funding to NaTec, CRSS will record an after-tax charge to earnings of approximately $9.5 million, or $0.71 per share. The charge consists of the estimated loss on disposal of the NaTec holdings coupled with the estimated losses during the phase out period. In addition to the items above, discontinued operations will also reflect CRSS' interest in NaTec's 1992 losses from operations equal to $1.9 million, or $0.14 per share.
 CRSS, through its operating subsidiaries, is one of the largest design and construction services companies in the nation today. CRSS is also involved in the independent power and cogeneration industry with its 81 percent ownership interest in CRSS Capital.
