COX BROADCASTING ANNOUNCES KEY MANAGEMENT CHANGES AND ORGANIZATIONAL RESTRUCTURING AT TELEREP AND TPE

 ATLANTA, March 22 /PRNewswire/ -- Cox Broadcasting announced today key management changes and organizational restructuring at TeleRep and TPE, including:
 -- Keith Samples being named president & general manager of Television Program Enterprises (TPE);
 -- Steve Herson remaining as president and general manager of TeleRep Station Rep Firm;
 -- Al Masini resigning as president & CEO of TeleRep, Inc. to form his own production company, producing TPE programs and outside projects, continuing as consultant to TeleRep and TPE;
 -- Phil Flanagan, president & general manager of TPE, retiring and remaining as consultant to TPE;
 -- TeleRep Station Rep and TPE will now be separate Cox Broadcasting Divisions;
 -- TPE expanding inventory with addition of Rysher Entertainment Programming.
 Al Masini has resigned as president/CEO of TeleRep, Inc., the Cox- owned TV sales rep firm. Keith Samples has been appointed president and general manager of Television Program Enterprises (TPE) in addition to his similar duties at Rysher, Cox's new programming acquisition. The announcement was made by Nick Trigony, president of the broadcasting division of Cox Enterprises, who said the changes are effective immediately.
 TPE and TeleRep, both based in New York City, will be operated separately. Samples and Steve Herson, president and general manager of TeleRep, will report directly to Trigony.
 "All of these changes position our businesses for the future and allow us, at the same time, to retain the services of Al Masini, which is critical to our continued success," Trigony explained. "Al is a giant in our industry, a one of a kind, and will continue to be an invaluable resource to all of us, both professionally and as a friend."
 Keith Samples
 Samples was president of his own production and distribution company, Rysher Entertainment, which was recently acquired by Cox Broadcasting. In announcing the acquisition, Trigony referred to the restructuring of TeleRep and TPE. Prior to forming Rysher, Samples was senior vice president in charge of Warner Brothers Domestic Television Distribution's off-network sales.
 Trigony said: "In a relatively short period of time, Keith Samples and Rysher Entertainment have become established as a force in both domestic distribution and international co-productions. Keith has demonstrated a solid vision for the future, and we look forward to his playing a vital role in growing the programming business for Cox Broadcasting."
 Founded in April 1991, Rysher Entertainment has an impressive lineup of both first-run and off-network programming which includes "Saved by the Bell," "Highlander: the Series," "Captain N: the Video Gamemaster," "Prime Suspect" and "Uptown Comedy Club." Rysher has introduced "Wavelength," "On the Money" and "Okavango" as new projects for 1993-94, in addition to five major specials.
 TPE currently produces and distributes the "Lifestyles of the Rich and Famous," "Star Search" and "Runaway with the Rich and Famous" series. TPE is also 50 percent partner and handles advertising sales for "Entertainment Tonight," and produces "Triple Threat" for Black Entertainment Television. Added to these are annual specials, "Supermodel of the World" and the "Rich and Famous World's Best." New projects include a series -- "Home Videos of the Stars," and a special -- "Ship Wrecked."
 Al Masini
 Al Masini leaves TeleRep, which he founded 25 years ago, to form Al Masini Productions. His new company will produce TPE series "Lifestyles," "Star Search," "Runaway," "Triple Threat" and "Home Videos of the Stars" as well as "Supermodel," "World's Best" and "Ship Wrecked," and will also take on outside projects. Al Masini Productions will be located in existing TPE space at 1 Dag Hammarskjold Plaza in New York. Masini will continue as a full-time consultant to TeleRep and TPE through 1996.
 Joining Masini will be Mary Jane Hastings, former vice president- director of operations for TPE. Hastings will be executive vice president of Al Masini Productions.
 In announcing his new venture, Masini said: "I look forward to spending full time producing shows -- the work I find most fulfilling in the television business. I am also very pleased to continue my working association with Cox Broadcasting -- a rewarding one that extends back 37 years. Finally, I want to take this opportunity to thank the many talented and dedicated people who have worked with me at both TeleRep and TPE over the past quarter of a century and contributed mightily to the success of both divisions."
 Television Program Enterprises (TPE), the nation's second-largest first-run syndication organization, has been the program production and distribution division of TeleRep, Inc. since 1980 when Masini launched its first series, "Solid Gold." That followed TeleRep's great success organizing and scheduling "Operation Prime Time (OPT)," the landmark station program consortium. OPT went on to produce 31 highly rated award-winning prime time specials. "Solid Gold," which ran for eight years, was followed by four other highly successful series conceived by Masini and still on the air: In 1993-94 "Entertainment Tonight" will be going into its 13th season, "Star Search" and "Lifestyles of the Rich and Famous" their 11th seasons, and "Runaway with the Rich and Famous" its eighth.
 Phil Flanagan
 Philbin S. Flanagan, president and general manager of Television Program Enterprises, retires, but will remain at TPE as a consultant through February 1994.
 Flanagan joined TPE in 1981 as general manager after 31 years in the radio station rep business. He had been president of the Christal Company for 10 years when he sold the company to Cox in 1973.
 Under Flanagan's leadership, TPE has become the second-largest barter syndication firm in the country.
 Steve Herson
 TeleRep, America's top-billing national television station representative, was founded by Masini in 1968, and has been led by Steve Herson for the past 15 years. It has continued to grow and flourish, currently representing 70 stations, the only U.S. representative with stations in all of the nation's top 50 revenue markets.
 Under Herson's leadership, TeleRep has now passed the billion-dollar billing mark and moved into the number one position among all representatives, while maintaining a select station list. He began his sales career with TeleRep in 1971, when the company was 2-1/2 years old, following a brief stint as a media buyer at Benton & Bowles. After selling for several years, he became manager for a TeleRep New York sales team, and in 1976 was named a vice president. In 1978 he was promoted to vice president-director of operations and was named president and general manager in 1990.
 Cox's broadcasting division includes seven television and five AM and eight FM radio stations in addition to TeleRep and TPE. Cox Enterprises also is a leader in newspaper publishing, cable television and automobile auctions.
