) announces that it has reached an agreement on a private placement issue of 3.5 million special warrants at a price of $2.80 per special warrant for gross proceeds of $9.8 million. This financing is underwritten by a Canadian investment dealer. Each special warrant will be exchanged into units comprised of one common share and one share purchase warrant. Two share purchase warrants entitle the holder to purchase one additional share of Bema Gold for one year at $3.25 per share. This financing is subject to the Company filing a short form preliminary prospectus Preliminary Prospectus

A first draft registration statement filed by a firm prior to proceeding with an initial public offering of securities. The document, filed with the Securities & Exchange Commission, is intended to provide pertinent information to prospective shareholders
 within six business days.

The proceeds of this financing will be used to fund final feasibility work on the Cerro Casale Deposit on the Aldebaran Property in Northern Chile (49 percent Bema Gold/51 percent Arizona Star Resource Corp.) and for general corporate purposes.

This financing is subject to regulatory approval.
