CORNUCOPIA RESOURCES GRANTS EMPLOYEE INCENTIVE OPTIONS.


VANCOUVER, British Columbia--(BUSINESS WIRE)--Feb. 3, 1997-- Cornucopia cornucopia (kôr'nykō`pēə), in Greek mythology, magnificent horn that filled itself with whatever meat or drink its owner requested.  Resources Ltd. (the "Company") announces that employee incentive options have been granted for the purchase of an aggregate of 277,000 common shares at an exercise price of $1.08 per share, being the closing price of the Company's shares on The Toronto Stock Exchange Toronto Stock Exchange (TSE)

Canada's largest stock exchange, trading approximately 1,200 company stocks and 33 options.
 on February 3, 1997. These Options will be exercisable over a five year period ending February 2, 2002.

The Company also announces that three employee incentive options have been re-priced for the purchase of an aggregate of 95,000 shares at an exercise price of $1.08 per share. The options have been repriced from previous exercise prices ranging from $2.26 to $2.60 per share to reflect current market prices.

The option grants and re-pricing have been made pursuant to provisions of the Company's Share Option Plan and are subject to the final approval of The Toronto Stock Exchange.

Cornucopia is listed on The Toronto Stock Exchange (CNP (Certified Network Professional) A professional designation and accreditation given to individual IT networking professionals by the Network Professional Association (www.npa.org). ) and is quoted on the Nasdaq Small-Cap Small-cap
