COMPUWARE CORPORATION ANNOUNCES INTENT TO ACQUIRE TECHNALYSIS CORPORATION

 FARMINGTON HILLS, Mich., March 17 /PRNewswire/ -- Compuware Corporation (NASDAQ: CPWR), a leading worldwide supplier of systems software products and data processing professional services, today announced its intent to acquire 100 percent of the shares of Technalysis Corporation (NASDAQ: TECN).
 Upon final approval of the transaction, Compuware would issue shares of its common stock to shareholders of Technalysis Corporation. The stock of Technalysis will be valued at approximately $16.75 per share. There are approximately 2,344,048 common and common equivalent shares of Technalysis Corporation outstanding. The acquisition will be accounted for as a pooling-of-interests.
 Technalysis Corporation, headquartered in Minneapolis, is a professional data processing organization dedicated to designing, developing and implementing data processing applications, products and information systems on mainframe, mid-range and micro computers. Technalysis was founded in 1968 to provide contract programming, systems development, consulting and project management services.
 Completion of the transaction is subject to the completion of due diligence on the part of Compuware, the negotiation and execution of a definitive agreement, the approval of Technalysis shareholders and the receipt of regulatory approvals.
