COMPUTER LANGUAGE RESEARCH, INC. ANNOUNCES THE ACQUISITION OF THE ASSETS OF PROJECT DATA SYSTEMS, INC. BY ITS RENT ROLL SUBSIDIARY.

CARROLLTON, Texas--(BUSINESS WIRE)--Jan. 22, 1996--Computer Language Research, Inc. (Nasdaq/NM: CLRI), announced the acquisition of substantially all of the assets of Project Data Systems, Inc. by its wholly owned Rent Roll, Inc. subsidiary, which sells residential property management software and services to multi-family property management and development companies.

Project Data Systems' products will be combined with CLR/Rent Roll's existing residential property management software business, which includes the Rent Roll, On-Site, and Credit Interfaces product lines. Rent Roll, Inc., acquired all of the capital stock of Credit Interfaces, Inc. earlier this month, acquired certain assets, including the Rent Roll name, in June of 1995 from their original owners, and acquired the assets pertaining to On-Site in December of 1994 from Prentice Hall. CLR estimates combined revenues for its Rent Roll, Inc. property management subsidiary in 1996 will be approximately $15 million.

The Company paid $2.0 million in cash for substantially all of the assets of Project Data Systems and entered into employment and non-compete agreements with the principal selling shareholders. Also, the Company assumed on-going customer support responsibilities. CLR estimates that Project Data Systems' revenues will be in excess of $4.5 million with positive earnings in 1996.

Lynn Finlinson, the president of Rent Roll, Inc. stated, "By adding PDS software and services to our multi-family product line, we will be able to handle a broader spectrum of needs for our customers. Many of our large property management customers have subsidized, as well as conventional, multi-family apartment communities. The PDS product family directly meets the special compliance, tracking and reporting requirements for this market. PDS has been in this business for more than 10 years and is considered the market leader. Now, our customers can look to CLR/Rent Roll to supply software and services that meet most, if not all, of their needs."

Boyd Jackman, former president of PDS, will join Rent Roll and will continue in its California location. He stated, "The company plans no immediate changes to the customer support procedures now in place or to the products offered to customers. Our employees can now look to greater opportunity with a larger company, which has demonstrated its commitment to the property management industry. We will be relocating to larger quarters only a few miles from our present site next month and have increased our staff to quickly deliver the enhancements and Windows (R) products our customers need."
