Gordon Hoffstein's third company made him even richer Thursday as CompUSA Inc., the large computer products retailer, said it will acquire his PCs Compleat Inc. for 3 million CompUSA shares, or $134.6 million.

The sale price is based on Thursday's closing stock price. CompUSA shares, which split last month, jumped 5-1/8 points to close at 44-7/8 following the early-morning announcement.

The final price, however, has not been determined as the acquisition, which will be accounted for as a pooling-of-interest basis, is expected to close May 30.

The deal enables Dallas-based CompUSA to have a significant presence in the fast-growing mobile computer mail order business, where Marlborough, Mass.-based PCs Compleat is one of the bigger players. In turn, PCs Compleat will be able to expand its product line, gain better wholesale pricing and have access to the names and addresses of CompUSA's 3 million customers, said Hoffstein.

PCs Compleat will retain its name and will remain in Marlborough. No employment loss is expected and Hoffstein will continue to head the new CompUSA subsidiary.
