COMPREHENSIVE CARE CORP. COMPLETES ACQUISITION OF MANAGED CARE COMPANY

 ST. LOUIS, Jan. 4 /PRNewswire/ -- Comprehensive Care Corp. (NYSE: CMP) today announced the completion of the acquisition of Mental Health Programs Corp. (MHP), which is a behavioral medicine (psychiatric and chemical dependency) oriented managed care company based in Tampa, Fla.
 MHP becomes Comprehensive Care's new managed care company called AccessCare. Prior to the closing, MHP was a privately owned managed health care organization which was formed in 1986. MHP currently contracts with employer groups, insurance companies, health maintenance organizations, preferred provider organizations, third- party administrators, self-insured groups and utilization review companies to provide a wide variety of managed health services including:
 -- Utilization review;
 -- Case management;
 -- A nationwide mental health preferred provider network;
 -- Disability claims management;
 -- Retrospective medical records, claims review and overall
 third-party administration.
 In addition, AccessCare will begin offering a full range of behavioral medicine services including wellness, health promotion, inpatient, partial hospitalization, outpatient mental health services and substance abuse counseling services, all tailored to the purchaser's specific needs.
 Commenting on the closing of the transaction, Richard W. Wolfe, president and chief executive officer of CompCare, said: "The acquisition of Mental Health Programs Corp. is the first step in CompCare's plan to become a major provider of managed care services.
 "AccessCare will now provide managed care services covering in excess of 1 million (1,000,000) lives."
 Wolfe continued: "AccessCare becomes an affiliate of CompCare's current hospital, publishing, data processing and contract management divisions which collectively may be America's only fully integrated one-source behavioral medicine company.
 "AccessCare brings to CompCare a focus for the future. It allows diverse management systems to function in a fully integrated fashion. The CompCare divisions will all complement one another in providing a full range of behavioral medicine services which are of the highest quality and cost effective.
 "For example, many of CompCare's competitors have hundreds of millions, or even a billion plus dollars of debt. This massive leverage requires them to include interest expense as a component of cost in every service they provide. By contrast, CompCare emerges from the highly leveraged '80s with virtually no senior secured debt, which allows us to be extremely competitive in pricing our services.
 "Therefore, AccessCare means cost-effective care. It is care whose outcome and satisfaction can be measured, predicted and verified.
 "With the acquisition of MHP, CompCare is poised to become a major provider of behavioral medicine services, including managed care, which will now be available from one source."
