 COMCAST ANNOUNCES WARBURG, PINCUS AND BANKERS TRUST INVESTMENT
 IN UNITED KINGDOM CABLE AND TELEPHONY BUSINESS
 PHILADELPHIA, Oct. 27 /PRNewswire/ -- Comcast Corporation (NASDAQ-NMS: CMCSA, CMCSK) ("Comcast") announced today that it has entered into agreements with Warburg, Pincus Investors L.P. (a limited partnership managed by E.M. Warburg, Pincus & Company ("Warburg, Pincus") and Bankers Trust International PLC ("Bankers Trust")) under which Warburg, Pincus and Bankers Trust could invest up to UK-pound-sterling 70 million in Comcast's United Kingdom cable television and telecommunications business.
 The agreements are subject to the satisfaction of certain conditions, in particular regulatory approvals. Apax Partners & Co. Corporate Finance Ltd., a London-based international investment banking firm, acted as financial advisors to Comcast.
 Comcast Corporation is principally engaged in the development and operation of cable television and cellular communications systems. The company's consolidated and affiliated cable operations served more than 2.8 million subscribers at June 30, 1992. This included over 830,000 subscribers representing 50 percent of the total subscribers served by Storer Communications, Inc.
 The company provides cellular telephone services in the Northeast United States to markets encompassing a population in excess of 7.3 million.
 In addition, Comcast is also engaged in the sale and installation of sound communications systems, owning the largest independent network of background music systems operating under the Muzak(R) name.
 The Class A and Class A Special Common Stock are traded in the over-the-counter market and are reported in the National Market List under the NASDAQ symbols CMCSA and CMCSK, respectively.
 Warburg, Pincus Investors, L.P. is a US $1.8 billion specialized equity fund managed by an affilate, E.M. Warburg, Pincus & Co., Inc., an international venture banking firm with offices in New York, London and Los Angeles.
 Bankers Trust International PLC is a wholly-owned subsidiary of Bankers Trust New York Corporation -- a worldwide merchant bank with 1991 net income of $667 million and total assets of over $63 billion.
