Terms of the transaction were not disclosed. Closing will take place after customary conditions have been fulfilled.

The acquisition will include the development and production of landing gears for the McDonnell Douglas McDonnell Douglas was a major American aerospace manufacturer and defense contractor, producing a number of famous commercial and military aircraft. In addition, Menasco, a unit of Coltec Industries, and AlliedSignal will form a strategic alliance. In this alliance, Menasco will provide the landing gear structure and associated hydraulics and electrical installations while AlliedSignal will provide the brakes, wheels and control features of the total system.

This transaction establishes Menasco as the leading manufacturer of landing gears for U.S. military aircraft. The Menasco Group of Companies, with facilities in Toronto, Ontario, and Fort Worth, Texas Fort Worth is the fifth-largest city in the state of Texas, 18th-largest city in the United States[1], and voted one of "America’s Most Livable Communities. , is a leading provider of landing gear systems and flight controls as well as overhaul services to the global aerospace and airline industries.

AlliedSignal Aircraft Landing Systems is a leading producer of commercial and military aircraft landing systems, including Bendix wheels and brakes and brake controls. It is also a global leader in wheel and brake repair and overhaul. Aircraft landing Systems is part of Allied Signal Aerospace, a Torrance, California-based unit of AlliedSignal Inc. that had $4.6 billion in revenue in 1994.
