CNN News Group to Take $20 Million Equity Stake in INTERVU as Part of Multi-Faceted Deal.

The CNN News Group and INTERVU Inc. (Nasdaq:ITVU), the leading service provider for Internet audio See RealAudio.  and video delivery solutions, today announced a strategic multi-tiered alliance.

The agreement calls for INTERVU to deliver live and on-demand broadcast streaming services for CNN and Turner Broadcasting System Turner Broadcasting System, Inc. (often abbreviated TBS Networks or TBS, inc.) is the company managing the collection of cable networks and properties started by Robert Edward "Ted" Turner from the mid-1970s to the late-1990s. , Inc. (TBS) for a period of three years for their online content.

As part of the agreement, INTERVU will issue $20 million of common stock to CNN. CNN will also provide INTERVU with three years of on-air and online advertising and promotional opportunities across CNN's properties, and INTERVU will sub-license CNN's domestic television networks to its corporate clients for internal distribution on their LANs. This alliance evolved from a successful 18-month relationship between the parties for online video distribution.

The highlights of the agreement include:

-- CNN takes a minority equity stake in INTERVU valued at $20

million.

-- INTERVU will provide fee-based Internet video management and

delivery services for three years to most CNN and TBS Web sites,

including CNN.com, CNNfn.com, CNNSI CNNSI Cable News Network and Sports Illustrated .com, roughcut.com,

TBSsuperstation.com, tnt.turner.com, CartoonNetwork.com, wcw.com

and turnerclassicmovies.com. In addition, INTERVU will deliver

audiostreaming services immediately for CNNfn.com, CNNSI.com and

the above TBS Web sites.

-- CNN will provide INTERVU with three years of advertising

opportunities across the following CNN News Group television

networks: CNN/U.S., CNN International (CNNI CNNI Cable News Network International ), CNN Headline News,

CNNfn, CNN/Sports Illustrated and CNN Airport Network CNN Airport Network is a satellite television network broadcasting general news, weather, stock market updates and features to airports across North America. The network debuted on January 20, 1992[1] ; and the

following CNN Web sites: CNN.com, CNNfn.com, CNNSI.com and

AllPolitics.com. INTERVU will launch its advertising campaign

before the end of 1999.

-- During the three-year period CNN will run on-air promotional

spots for its streaming media offerings that will highlight CNN's

association with INTERVU. These promotional spots will air on

CNN/U.S., CNN Headline News, CNNfn, CNN/Sports Illustrated and

CNN Airport Network. In addition, INTERVU will receive on-air and

online promotion and co-branding alongside all INTERVU-delivered

streaming media content on CNN.com.

-- INTERVU has the right to authorize its corporate clients to

distribute the CNN networks to PCs in their offices.
