CMA is now controlled by the Offerors, in that the Offerors now have beneficial ownership of, or control and direction over, 13,333,333 common shares of the Corporation, representing 75% of the outstanding securities of the Corporation. All the Offerors are acting jointly or in concert and at present, the Offerors have no future intention of increasing the beneficial ownership of securities of the Corporation. HQCNS is involved in the executive office industry which provides shared office space. HQCNS is part of the largest network of shared office facilities in the world. The concept of shared office space and tenant services grew out of the need of small businesses to control overhead expenses yet operate at maximum efficiency. The transaction with HQCNS was completed pursuant to an Order of the Alberta Securities Commission which varied a previous Cease Trade Order allowing the Corporation to acquire control of HQCNS with the intention of re-activating the Corporation's operations.
