These distribution rights were originally granted by the Company to Wesmark Inc. of Troy, Michigan Troy is a city in Oakland County of the U.S. state of Michigan. It is a suburb of Detroit. As of the 2000 census, the city had a total population of 80,959, the 12th largest city in Michigan by population.  in 1989. As a result of this acquisition Clearly Canadian U.S. will be involved in the direct distribution of Clearly Canadian products in the United States. Of the distribution rights acquired, Clearly Canadian U.S. has appointed one of the Company's other master distributors, Central Wholesale Liquor Co., to handle distribution of Clearly Canadian products in the State of Florida.

Additionally, pursuant to the other product distribution re-alignments, the Company has also assigned the distribution rights for the States of Mississippi, Louisiana and Arkansas to Central Wholesale Liquor Co. and has assigned the distribution rights for the State of Texas to one of its other master distributors, Vancol Industries Inc.

In connection with some of the funding for the acquisition of the distribution rights from Wesmark, the Company has granted a non- transferable share purchase warrant to Clearly Canadian U.S. If such warrant is exercised, the proceeds from the sale of the Company's shares would be used to fund certain of the acquisition payments by CCBC CCBC Community College of Baltimore County (Maryland)
CCBC Community College of Beaver County (Monaca, Pennsylvania)
CCBC Caerphilly County Borough Council (Wales, UK) 
 U.S. to Wesmark.

The Company is pleased with the acquisition of distribution rights from Wesmark as it provides the Company with direct involvement and control over the distribution and marketing of its products in the States formerly handled by Wesmark.
