CHC Helicopter Corporation ("CHC") (TSE: FLY.A and FLY.B; NASDAQ: FLYAF) has learned late on Friday that Dr. Kim Howells, the U.K. Competition and Consumer Affairs Minister, has decided, in accordance with the advice of the U.K. Director General of Fair Trading, to refer the acquisition by CHC of Helicopter Services Group ASA ("HSG") to the U.K. Competition Commission (the "Commission") under the provisions of the Fair Trading Act, 1973.

This decision was not unexpected. This review by the Commission is intended to determine whether a merger of the two U.K. Operations would restrict competition so as to adversely impact public interest.

No advance approval to the merger of two operating enterprises in the U.K. is required pursuant to U.K. law. However, in addition to public announcements we made in early March, 1999 respecting our acquisition of shares in Bond's Norwegian parent company, HSG, and our public offer pursuant to the Norwegian Securities Trading Act, on April 16, 1999, we formally notified the Office of Fair Trading ("OFT") of the pending transaction on June 11, 1999. On July 6, 1999, we made a detailed voluntary submission to the OFT on the fact that Bond and British International would come under the common control of CHC, as part implementing the larger transaction.

Dr. Howells has indicated that the review will be completed by December 16, 1999. We shall be assisting the Competition Commission in whatever way we can during their review and will continue to operate fully in compliance with the applicable legislation. The reference will not adversely affect the helicopter operations of British International or Bond Helicopters, or our service to customers.
