) today announced that its common and preferred shareholders approved the change in Certificate of Incorporation certificate of incorporation n. some states issue a certificate to prove a corporation's existence upon the filing of Articles of Incorporation. In most states the Articles are sufficient proof.  related to the recapitalization which was completed effective December 31, 1995. The number of shares present was 13,113,123, representing 76.86% of the 17,060,919 available shares. The vote for the change in Certificate of Incorporation tallied as follows: 13,104,914 for; 3,181 against; and 5,028 abstained. Champion's two series of preferred shareholders also voted for the change in the Certificate of Incorporation.
