The transaction, which is expected to close on May 17, 1996, is subject to usual approvals. On January 22, 1996, CGI had announced the signing of an agreement in principle with FoxMeyer Canada to acquire the same division. The agreement was subsequently restructured so that the transaction could be conducted directly between CGI and L'Industrielle-Alliance. CGI evaluates at approximately $30 million the annual revenues generated by IST's outsourcing and systems integration division.
