 in response to a cash tender offer by Videotron, which has been made on April 21, 1996, and that CFCF, the Pouliot family and Videotron had executed mutual releases of their obligations contracted on November 18, 1995, CFCF was, today, to send a Notice of Change to its shareholders.

Having regard, however, to the announcement made yesterday by Cogeco Cable Inc. that it was increasing and extending its offer, CFCF will not be sending its Notice of Change, because it would have created unnecessary confusion. CFCF will rather be sending to its shareholders, early next week, a Directors' Circular further to its review and assessment of both the Videotron offer and the modified Cogeco offer.
