A conversion right was added which permits debentureholders to convert their debentures into Centrefund common shares on or after July 1, 2004 at 125 percent of the market price as at July 1, 2004. The debentures are also redeemable on or after July 1, 2004 and Centrefund is permitted to purchase debentures in the open market. In addition, amendments have been made to permit greater flexibility in incurring additional senior indebtedness. The debentures have been re-designated and are now known as the 1994 Convertible Participating Debentures. CONTACT: Peter F.
