:PK) ("Central Parking") today announced the completion of a short-form merger of Square Industries, Inc. (Nasdaq/NM:SQAI) ("Square Industries") with a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

In other words, the parent company owns the company outright and there are no minority owners.

Central Parking previously announced its acquisition of approximately 97% of Square Industries common stock. The shares not acquired were converted in the merger into the right to receive $28.50 in cash, with an additional $2.50 per share to be deposited by Central Parking in escrow as contingent consideration for distribution to either the former shareholders of Square Industries or Central Parking, based upon the resolution of two specific matters, subject to adjustment as provided in the escrow agreement.
