CENTERCORE ACQUIRES MARIS EQUIPMENT COMPANY

WAYNE, Pa., Sept. 23 /PRNewswire/ -- CenterCore, Inc. (NASDAQ: CCOR), a designer and manufacturer of office furnishings, air filtration systems, and ergonomic seating systems, announced that it has acquired the assets of Maris Equipment Company, a wholly-owned subsidiary of JWP Inc. (NYSE: JWP).
The acquisition, terms of which were not disclosed, is CenterCore's second such transaction this year, and will nearly double its size. CenterCore had 1992 net sales of $45.6 million.
Maris, which reported 1992 sales of $45 million, designs and installs integrated electronic systems for security access control, fire, sound, communications and other systems. Maris serves businesses, the aviation and transportation industries and is one of the largest electronic systems suppliers to the U.S. Federal Bureau of Prisons. Headquartered in Exton, Pa., and with 250 employees, Maris will retain its name and operate as a wholly-owned subsidiary of CenterCore.
Both the Maris transaction and CenterCore's February 1993 acquisition of Airo Clean Engineering, Inc., are part of CenterCore's long-term strategy to expand its range of products and markets.
"We see this merger as beneficial to CenterCore and Maris," said George E. Mitchell, CenterCore's president and chief executive officer. "It provides us both with the potential for long-term expansion in the range of products we offer and markets we serve."
Begun in 1984 as a manufacturer of modular office systems, CenterCore has a record of innovation in space planning efficiency and workplace health and productivity. CenterCore holds a patent on a furniture-based air filtration system proven to reduce absenteeism and increase productivity in office workers, and its Airo Clean subsidiary has developed a mobile isolation unit designed to isolate and protect bone marrow and infectious patients.
Maris, in business for over 20 years, originally designed and produced electronic systems for businesses and industry before becoming a major force installing security systems for the nation's correctional institution market. Maris products are installed throughout the United States. "The commercial accounts that buy our products and services also use CenterCore products," said Arthur M. Partridge III, chief executive officer of Maris. "We look forward to the growth we can achieve through the new synergies created by this merger."
CenterCore, a Safeguard Scientifics, Inc. (NYSE: SFE) partnership company, has manufacturing facilities in Plainfield, N.J.; Mansfield, Ohio; Exton, Pa.; and Waterloo Ontario. CenterCore products are represented by a network of dealers throughout the United States, Canada, Europe and Asia.
