The transaction comprises the sale of public and private customer contracts, the transfer of the CrossWay-Hopital employees, and the sale of intellectual property rights relating to the CrossWay-Hopital software.

The CrossWay-Hopital software was designed by ICSF to manage shared patient files, medical care units, technical platforms, and doctor's consultation, in public health institutions.

ICSF was acquired by CEGEDIM in 1999 and has experienced several loss-making years. The present transaction allows ICSF to valorize val·or·ize

 the development of its software, thus sold to one of its trading partners McKesson France, who will accelerate its growth in the medical file software solutions for hospitals.

In 2002, ICSF recorded a 1.98 million euros revenue and a net loss of 526 thousand euros.

This sale further allows CEGEDIM to refocus ICSF's know-how to the group's core businesses, and notably to participate in the growing business of the regional medical networks (CrossWay-Reseaux), in accordance with the institutional actions taken to ensure medical care continuity, information sharing and data warehousing. Besides, the transaction has no impact on CEGEDIM's CrossWay-Clinique business (administrative and medical information solutions for clinics) and CrossWay-Ville business (open and communicating patient file software solution for doctors), both of which remain in CEGEDIM's group.
