CDC 2002-FX1 P-T Ctfs Upgraded by Fitch Ratings.

 Commercial Mortgage Trust 2002-FX1 commercial mortgage pass-through certificates, series 2002-FX1 are upgraded by Fitch Ratings as follows:

-- $20.7 million class D to 'AA+' from 'AA';

-- $8.0 million class E to 'AA' from 'AA-'.

In addition, Fitch also affirms the following classes:

-- $149.8 million class A-1 'AAA';

-- $304.9 million class A-2 'AAA';

-- Interest-only classes X-CL and X-CP 'AAA';

-- $25.5 million class B 'AAA';

-- $9.6 million class C 'AAA';

-- $8.0 million class F 'A+';

-- $12.8 million class G 'A-';

-- $9.6 million class H 'BBB+'.

Fitch does not rate classes J, K, L, M, N, P or Q.

The upgrades reflect the defeasance of additional 6% of the pool since Fitch's previous rating action in June 2005, when Fitch upgraded classes B through F. Since issuance, 20% of the pool has defeased. As of the September 2005 distribution date, the pool's certificate balance has paid down 4.4% to $609.3 million from $637.5 million at issuance.
