(Nasdaq:CBRL) today said that it had declined to participate in a proposed investor conference call scheduled by Donaldson, Lufkin & Jenrette for Thursday, January 6, 2000, at the direction of its counsel and solely because of technical disclosure concerns raised by its advisors. The Company was informed late on Wednesday, January 5, 2000, that the call would involve institutional investors Institutional Investor

 representing over 20% of the Company's outstanding shares, a substantially larger group than anticipated. Because the Company had earlier not been adequately informed of the size of the call and could not provide advance notice of the call to the investment community generally, the Company decided not to participate in the call as scheduled.

Such an investor conference call, by its very size, could appear likely to involve a discussion of material information affecting the Company. Because the Company wanted to avoid any inference that it had engaged in selective disclosure with that limited, but large, investor group, it felt obligated ob·li·gate
