) Friday announced that next week it plans to file with the Securities and Exchange Commission a prospectus supplement to the company's omnibus shelf registration statement in conjunction with a proposed offering of $200 million aggregate principal amount of Senior Subordinated Notes due 2008.

The underwriters for the offering are Merrill Lynch Merrill Lynch & Co., Inc. (NYSE: MER TYO: 8675 ), through its subsidiaries and affiliates, provides capital markets services, investment banking and advisory services, wealth management, asset management, insurance, banking and related products and services on a global basis.  & Co., BancAmerica Robertson Stephens and Nationsbanc Montgomery Securities. The company intends to consummate this new financing in May 1998.
