Final proration calculations resulted in 8,927 odd lot shares and 7,491,073 non-odd lot shares, or approximately 49.8% of non-odd lot shares validly tendered and not withdrawn, being accepted for payment.

Carr Gottstein Foods operates 39 stores in Anchorage, Fairbanks, Juneau, Ketchikan, the Kenai Peninsula and other Alaska communities, as well as the state's only full-line food warehouse and distribution center, and in addition operates Alaska's largest freight company. Annual revenues in 1994 were $577.1 million.
