CAK Entertainment and 1st Archives Working Towards Agreement.

Eutro Group Holding Inc. and Ivy Entertainment.Com Inc., the entertainment division of Strategic Alliance Group Inc. is pleased to announce that its wholly-owned subsidiary 1st Archives.Com is negotiating a consulting agreement with CAK Entertainment Inc. of New York.

CAK Entertainment Inc. intends that the scope of its services will be broad and include advising on overall business structure, seeking out specific business opportunities, negotiations of property acquisitions, licenses, distribution and fulfillment agreements, various financial matters, investment opportunities etc. CEI intends to rely on its senior executives' vast experience, expertise and relationships in the entertainment business in order to accomplish this. The principals of CAK Entertainment Inc. are Lawrence H. Katz and Charles Koppelman.

Katz, general counsel, began his career in the music and entertainment business more than twelve years ago as an attorney in private practice. Currently he is the senior vice president and general counsel for CAK Universal Credit Corporation, founded by the music industry along with Charles Koppelman, where he is in charge of seeking and evaluating financing and investment opportunities in all facets of entertainment for the company. In addition, Katz and Koppelman have started CAK Entertainment Inc., which consults and advises entertainment companies on all aspects of their business including investments, as well as arranging acquisitions and sales of such companies. Katz has previously served as senior vice president and general manager, West Coast, for EMI Records and Publishing divisions, as well as vice president of business affairs for SBK Entertainment one of the largest publishing companies in the world. Recently, Katz was appointed to the board of directors of King Biscuit Entertainment Group, a CAK Entertainment Inc. client. Katz received his Bachelors Degree in Economics from the University of Pennsylvania in 1981, and his Law Degree, with honors, from the University of Miami School of Law in 1984.

Koppelman is chairman and chief executive officer of CAK Universal Credit Corp., which he formed in February 1998 with Prudential Securities Inc. CAK UCC has an initial $200 million line of credit from Prudential Securities to originate and warehouse loans secured by income streams from intellectual property such as copyrighted music, computer software, books, movies and patents. These loans then will be securitized and sold to investors. The company expects to manage $1 billion in financing in its first year. Koppelman was chairman and chief executive officer of EMI Records Group North America from 1991 until 1997, Koppelman oversaw all North America activities of EMI's diverse record labels, which include Capitol, EMI, The Enclave, Capitol Nashville, EMI Latin, Blue Note and Angel/EMI Classics/Virgin Classics.
