The preferred stock is convertible to common stock at the lesser of market price at time of conversion or $11 per share within three years and is redeemable within five years. A portion of the cash consideration paid by CAI was financed through the issuance of 12 percent short-term notes with detached warrants. The aggregate principal amount of the notes is $5,250,000 with warrants to purchase 603,448 shares of CAI common stock. The exercise price for the warrants is $8.70 if the debt is repaid within four months.
