Butler Shareholders' Special Committee Files Amended Complaint.


PORTLAND, Ore. -- The Special Committee of shareholders of Butler International, Inc (PINK SHEETS:BUTL) announced today that it has amended the class action complaint in the Circuit Court for Baltimore County, Maryland Coordinates:

Baltimore County is a county located in the northern part of the U.S. state of Maryland. In 2004, its population was estimated to be 763,181.[1].
 (Case No. 03C06 008836). The complaint alleges, in part, that Company Management and the Board of Directors breached their fiduciary duties to the shareholders, disenfranchised shareholders rights to vote and diluted shareholder value. The complaint addresses various actions by the Company and the Board including granting egregiously discounted warrants to the CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. , Edward Kopko ("Kopko"), entering into dilutive financing transactions containing entrenchment provisions benefiting Kopko and restricting the Board from evaluating alternative financing arrangements, and by rejecting alternative proposals that would have been more beneficial to the Company in order to further entrench en·trench   also in·trench
