CS/SB 1056--Business Entities

This bill replaces the Florida Revised Uniform Limited Partnership Act (1986) with the Florida Revised Uniform Limited Partnership Act (2005), to incorporate reforms from the model act developed by the National Conference of Commissioners on Uniform State Laws The National Conference of Commissioners on Uniform State Laws (NCCUSL) is a non-profit, unincorporated association in the United States that consists of commissioners appointed by each state and territory.  (NCCUSL NCCUSL National Conference of Commissioners on Uniform State Laws ) as modified to conform to Verb 1. conform to - satisfy a condition or restriction; "Does this paper meet the requirements for the degree?"

 certain features of pre-existing Florida law The jurisprudence of this state offers major differences from doctrines prevailing in the United States at either the federal level or that of the various states.

The bill also incorporates some of these organizational and administrative reforms into provisions relating to other business entities regulated by the state (corporations, limited liability companies, not-for-profit corporations, and partnerships). This includes harmonization of the merger and conversion provisions, to allow the conversion of business entities from one form to another in a one-step process. If approved by the governor, these provisions take effect July 1, 2005.
