Initially, the Company plans to purchase shares on the Euronext Paris market; the exact number of shares will be determined by market conditions. Consistent with current shareholders' authorizations, the Company may repurchase up to 2,000,000 shares. As of September 19, 2001, the Company had approximately 61 million shares outstanding, excluding treasury shares.

The shares repurchased shall be used for general corporate purposes, including share issuance requirements of the Company's employee stock option plan and share issuance requirements in the context of acquisitions.
