Bruker Announces Filing of S-3 Shelf Registration Statement.

: BRKR BRKR Breaker ) announced today that it has filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission (SEC) relating to the registration of seventy million (70,000,000) shares of its common stock, consisting of both primary and secondary shares.

Under the shelf registration, if and when declared effective by the SEC, three of the Company's major Laukien shareholders may, from time to time, in one or more offerings offer for resale up to thirty five million (35,000,000) secondary shares in the aggregate, at prices and on terms to be determined at the time of any such offering. Typically the president of the company, the CEO reports to the Chairman of the Board. , and two other Laukien shareholders are not registering for resale in this filing any shares of Company common stock owned by them.

In addition, if and when the SEC declares this shelf registration effective, the Company may, from time to time, in one or more offerings and at prices and on terms to be determined at the time of an offering, if any, offer for sale up to thirty five million (35,000,000) primary shares of common stock. The Company presently has no intentions to offer any such primary shares.
