) announced today that it has arranged for a US$300 million issue of 8 1/8% debentures maturing December 15, 2008. The debentures will be issued under the Company's shelf prospectus filed on November 30, 2001 with the Ontario Securities Commission The Ontario Securities Commission (OSC) is a regulatory agency which administers and enforces securities legislation in the Canadian province of Ontario. The OSC is an Ontario Crown corporation which reports to the Ontario legislature through the Minister of Finance.  and the U.S. Securities and Exchange Commission.

Terms of the offering will be described in a prospectus supplement to be filed shortly.

Net proceeds received by the Company from this issuance will be used for general corporate purposes, including increasing its interests in its principal business units and the repayment of corporate debt.
