Brascan Announces US$450 Million Debenture Issue.

: BNN) today announced that it will issue US$450 million of debentures consisting of US$200 million 5 3/4% debentures maturing March 1, 2010 and US$250 million 7 3/8% debentures maturing March 1, 2033. The debentures will be issued under the Company's base shelf prospectus dated November 29, 2001 filed with each of the provinces of Canada and the U.S. Securities and Exchange Commission, as amended by base shelf prospectus amendments dated June 7, 2002 and February 17, 2003, and additional registration statements filed on June 11, 2002 and February 19, 2003 with the U.S. Securities and Exchange Commission. The two amendments increased the maximum aggregate principal amount of debt securities that may be offered and issued from time to time under the base shelf prospectus from US$500 million to US$1,400 million, of which US$1,100 million will have been issued, including this offering. The debentures are being offered only in the United States.

A prospectus supplement reflecting the terms of the offering will be filed shortly.
