.PR.B) announced today that its common and preferred shareholders approved the amalgamation of Brascade and 4250231 Canada Limited, a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

In other words, the parent company owns the company outright and there are no minority owners.

Preferred shares give investors a fixed dividend from the company's earnings and entitle them to be paid before common shareholders. See: Preferred stock.
 Series B will be converted into Class 1 Senior Preferred Shares, Series B of the amalgamated corporation on a one-for-one one basis. Series B Preferred shareholders of Brascade do not need to take any action to receive their senior preferred shares of the amalgamated corporation. Their existing preferred shares will, following the amalgamation, represent the senior preferred shares of the amalgamated corporation, until replaced against transfer.

The Senior Preferred Shares, Series B of the amalgamated corporation will trade under the stock symbol BCA.PR.B, the same stock symbol as Brascade's existing Series B preferred shares.
