Boundless Acquires Manufacturing Facility From BOCA Research; Adding Value By Building-To-Order In A Growing Market.

HAUPPAUGE, N.Y.--(BUSINESS WIRE)--Jan. 25, 2000

Boundless Corporation (AMEX: BND) - a provider of manufacturing services today disclosed that its recently formed subsidiary, Boundless Manufacturing Services, Inc. (BMS), has taken a step forward in its pursuit of opportunities within the $90 billion+ electronic manufacturing services (EMS) marketplace by entering into a contact manufacturing agreement with Boca Research, Inc.(R) (Nasdaq: BOCI).

Related to this transaction, Boundless Technologies Inc., another subsidiary, has entered into an agreement to acquire certain assets related to Boca Research's manufacturing operations.

BMS will assume the manufacturing services, lease and other support services of Boca Research's, Florida based, 70,000 square foot manufacturing facility and will staff the facility from Boca Research's current team of manufacturing and supply chain associates. The contract manufacturing agreement includes a specified minimum level of contract manufacturing services for the first 12-month period. The definitive agreements are subject to due diligence and other customary conditions of closing, expected in early March 2000.

Boundless will continue to manufacture PCBAs supported by several Surface Mount Technology (SMT) lines in the Boca Raton facility. This manufacturing activity will include the uninterrupted supply of Boca Research's modem products, and new Boca Research's products as they are released. In addition, BMS will provide Boca Research with distribution and logistical services.
